KIBU MEMBERSHIP TERMS
These Membership Terms (the “Membership Terms”) govern your purchase and use of a paid Kibu membership or subscription to Kibu’s software, classes, content, and features, and any Kibu in-studio membership or class pack you buy directly from Kibu. They supplement, and are part of, the Kibu Terms of Service (the “Terms of Service”). Capitalized terms used but not defined here have the meanings given in the Terms of Service, including “Kibu,” “we,” “us,” “Services” or “Kibu Service,” “Content,” “User,” “Member,” “Guardian,” “Subscription,” “Studios,” and “MSA.”
By purchasing, activating, or using a Kibu membership or Subscription, you agree to these Membership Terms. If you do not agree, do not purchase or use a Kibu membership.
- Scope; Relationship to the Terms of Service and the MSA
These Membership Terms apply to consumer memberships and Subscriptions that individuals purchase directly from Kibu. They do not govern access to the Enterprise Services. If you use the Services through, or as an individual served by, an organization that has a Master Subscription Agreement with Kibu, that MSA and the applicable Order Form — not these Membership Terms — govern the fees, term, renewal, and cancellation of that organization’s subscription.
In the event of a conflict, the following order of precedence applies, from highest to lowest: (i) an applicable MSA (as to the Enterprise Services); (ii) these Membership Terms (as to consumer memberships and Subscriptions); and (iii) the Terms of Service. All other provisions of the Terms of Service — including the disclaimers, limitation of liability, governing-law, and arbitration and class-action-waiver provisions — apply to your membership and are incorporated here by reference.
- Eligibility
You must be at least 18 years old (or the age of legal majority in your jurisdiction) to purchase a membership or Subscription and become a “Membership Holder.” Individuals under 18, and individuals who require a Guardian to act on their behalf, may use the classes, activities, and content only as permitted by the Terms of Service, through and with the involvement of a parent, legal guardian, or other authorized representative, or through a provider organization. If you purchase a membership for or on behalf of another person (including a Member), you are the Membership Holder, you are responsible for all fees, and you represent that you have the authority and any consent required to do so.
- Membership Plans and Content
We offer one or more membership plans and Subscription options, the current features and prices of which are described at the point of purchase and on the Kibu Site. A Subscription may include access to live and on-demand classes, educational, wellness, and fitness Content, and related features. In-studio memberships and class packs are separate offerings that may require a separate studio account and are subject to additional fees and to then-current Studio policies.
Membership features, Content, class schedules, and prices may change at any time. We may add, modify, or discontinue plans, Content, or features, and we are not obligated to continue offering any particular class, program, or feature.
- Fees; Billing; Payment Authorization; Taxes
You agree to pay the fees for your membership or Subscription at the prices in effect when you purchase or renew, as shown at the point of purchase (the “Fees”). By providing a payment method and completing a purchase, you authorize Kibu and its payment processors to charge that payment method for all Fees, including recurring Fees for each renewal term, and any applicable taxes, until you cancel as described below. You are responsible for keeping your payment and account information accurate and current; if a charge is declined, we may suspend or terminate your membership.
Fees are stated exclusive of taxes, and you are responsible for any sales, use, or similar taxes. Except where these Membership Terms expressly provide or applicable law requires, all Fees are non-refundable.
- Automatic Renewal; Cancellation
IMPORTANT — AUTOMATIC RENEWAL. Unless the offer states otherwise, memberships and Subscriptions renew automatically. At the end of each term (for example, each month or each year), your membership will automatically renew for another term of the same length, and we will charge your payment method the then-current Fee for the renewal term, until you cancel. Where required by law, we will send you advance notice of an upcoming renewal and of any Fee change.
You may cancel at any time through your account settings on the Kibu Site or App, or by contacting our Support team at support@kibu.com. We provide a simple online cancellation method that does not require you to call or visit in person. Cancellation takes effect at the end of your then-current paid term: you will continue to have access to the membership Content and features until the end of that term, and you will not be charged for any subsequent term. Except as stated in the “Refunds” section or as required by law, cancellation does not entitle you to a refund of Fees already paid for the current term.
If any Fee change would apply to your next renewal term, we will notify you in advance as required by law, and the change will take effect on your next renewal unless you cancel before that renewal. Additional disclosures required by the automatic-renewal laws of your state (including, where applicable, California and New York) are provided at the point of purchase and are incorporated here.
- Free Trials and Promotional Offers
We may offer free trials or promotional memberships. Unless stated otherwise, at the end of a free trial your membership will automatically convert to a paid Subscription and your payment method will be charged the applicable Fee, unless you cancel before the trial ends. Free trials and promotions are limited to eligible new members, may be limited to one per person or household, cannot be combined unless we say so, and may be modified or withdrawn at any time.
- Refunds
Except where required by non-waivable law, Fees are non-refundable, and we do not provide refunds or credits for partial membership periods, for Content or classes you did not use, or for periods during which your account was suspended for a violation of the Terms of Service or these Membership Terms. Nothing in this section limits any refund rights you may have under applicable consumer-protection law or under the “Automatic Renewal; Cancellation” disclosures required in your state.
- In-Studio Memberships, Classes, and Class Packs
In-studio memberships, drop-ins, and class packs are governed by these Membership Terms and by then-current Studio policies, including scheduling, reservation, late-cancellation, no-show, and check-in rules posted on the studio website or at the Studio. Class packs and credits may expire as stated at purchase. Participation in classes and activities is subject to the “Safety Warnings” section of the Terms of Service, including any medical-clearance and supervision requirements, which apply fully to in-studio and online participation.
- Your Account; Acceptable Use
Your membership is personal to you (or, for a membership purchased on behalf of a Member, to that Member) and may not be shared, sold, or transferred. You are responsible for all activity under your account, for safeguarding your credentials, and for complying with the Acceptable Use and other obligations in the Terms of Service. We may monitor for compliance and may suspend or terminate memberships used in violation of these Membership Terms or the Terms of Service.
- Suspension; Termination
We may suspend or terminate your membership as provided in the Terms of Service, including for non-payment or for a violation of these Membership Terms or the Terms of Service. If we terminate your membership for cause, you will not be entitled to a refund. Upon expiration or termination of your membership, your right to access the related classes, Content, and features ends. You may also cancel at any time as described in the “Automatic Renewal; Cancellation” section.
- Health, Safety, and No Professional Advice
Kibu’s classes, activities, and educational, wellness, and fitness Content are provided for educational and general-wellness purposes only and are not medical, clinical, behavioral, or healthcare advice, diagnosis, or treatment. Before participating, you (or, for a Member, the Member’s Guardian, caregiver, or supervising professional) should obtain appropriate clearance and confirm that the activity is suitable, and should supervise and modify activity as needed, as further described in the “Safety Warnings” section of the Terms of Service. Any AI-enabled features are subject to Kibu’s Responsible AI Policy.
- Disclaimers; Limitation of Liability; Dispute Resolution
Your membership and the Services are provided on an “as is” and “as available” basis, and the disclaimers, limitation of liability, governing-law (Delaware), and mandatory arbitration and class-action-waiver provisions of the Terms of Service apply to your membership and any dispute relating to it, and are incorporated here by reference. Please review those provisions carefully, including your right to opt out of arbitration within the time stated in the Terms of Service.
- Changes to These Membership Terms; Contact
We may update these Membership Terms from time to time as provided in the Terms of Service. We will post the updated Membership Terms with a revised “Last Updated” date, and, where required, provide additional notice. Your continued membership after the effective date constitutes acceptance of the updated Membership Terms.
